In certain instances a person (natural or juridical) who acquires or disposes of shares or other financial instruments, or is entitled to acquire, dispose of or to exercise voting rights, in Kindred Group shall notify Kindred Group of the proportion of voting rights of Kindred Group held by the person as a result of the acquisition or disposal when it reaches, exceeds or falls below certain thresholds.
The notification obligation applies when the person acquires or disposes of voting rights in Kindred Group and thereby reaches, exceeds or falls below the thresholds of 5 %, 10 %, 15 %, 20 %, 25 %, 30 %, 50 %, 75 % and 90 % of the voting rights (“Shareholder’s notification”)
Shareholder’s notification shall be effected promptly however no later than four trading days following the triggering event. Upon receipt of the Shareholder’s notification, but no later than three trading days after the day on which the notification was received, Kindred shall make public the information via a press release. The notification document which was submitted by the Shareholder to Kindred will as well be made available together with the press release in the table below. The person shall also notify the national competent authority of Malta, the Malta Financial Services Authority (MFSA), of the acquisition or disposal of major holdings at: transparency@mfsa.mt
